Terms of service

1. Who we are

CoaleTech is a finance-led enterprise software company building on the Frappe Framework and ERPNext. Our services include ERPNext implementation and localisation, custom Frappe application development, tax technology (including KRA eTIMS integration), internal audit and controls platforms, governed AI solutions, business process automation, integrations, and support and managed services. These terms govern your use of this website and, together with a signed statement of work, our professional engagements.

2. Engagements

Professional services are delivered under a statement of work (SOW) or engagement letter that defines scope, deliverables, timelines, acceptance criteria, and fees. Where these terms and an SOW conflict, the SOW prevails for that engagement.

3. Licensing and open source

Our deliverables are built on the open-source Frappe Framework and ERPNext, which are licensed under GPL-3.0 by their respective maintainers. License terms for custom code we author are set out in the applicable SOW. We do not charge per-seat license fees for open-source software.

4. Client responsibilities

You are responsible for providing timely access to systems and stakeholders, the accuracy and completeness of data supplied for migration or configuration, and timely review and approval of deliverables. Delays in these responsibilities may affect timelines and fees as set out in the SOW.

5. Fees and payment

Fees are set out in the applicable SOW or invoice and, unless agreed otherwise, are denominated in Kenya Shillings (KES). Invoices are payable per the terms stated on them. Late payment may result in suspension of services after written notice.

6. Support and service levels

Support scope, response targets, and any service-level commitments are defined per engagement in the applicable SOW or support agreement. We make no blanket uptime guarantees on this website; hosting-related commitments depend on the deployment model you choose (on-premise, private cloud, or CoaleTech-hosted).

7. Confidentiality

Each party will protect the other's confidential information with at least the care it applies to its own, and use it only for the engagement. Confidentiality obligations survive the end of an engagement.

8. Limitation of liability

To the extent permitted by law, CoaleTech's total liability arising from an engagement is capped at the fees paid under that engagement in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.

9. Governing law

These terms are governed by the laws of the Republic of Kenya. Disputes will first be addressed in good-faith negotiation; failing that, by arbitration in Nairobi.
